Terms of Service

1. Acceptance of Terms

By creating an account, clicking "I agree," submitting a contact form, booking a session, or otherwise accessing any portion of the DiversusPro platform or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must immediately cease all use of DiversusPro services.

2. Services Provided

DiversusPro provides a suite of business management and digital operations services, including but not limited to:

• Website Design & Development — Custom website builds, redesigns, and front-end development.
• Website Management & Maintenance — Ongoing hosting, updates, security monitoring, and uptime management.
• Automated Invoicing & Billing — Invoice generation, client billing workflow automation, and payment tracking.
• Client Support Ticket Management — Structured inbox and escalation workflows for client-facing support.
• AI Workflow Bots — Automated AI-driven agents for repetitive operational tasks.
• Chat Widget — Embeddable intelligent chat interface for your business website.
• AI Voice Chat — Automated voice-based interaction tooling.
• Vent & Reset Sessions — One-on-one scheduled calls for business sounding-board and operational coaching purposes (see Section 3).

Service availability, scope, and feature access depend on your chosen subscription plan or à la carte purchase. DiversusPro reserves the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3.1 Nature of Vent & Reset Sessions

Vent & Reset is a business coaching and operational sounding-board service. Sessions are one-on-one, 30-minute scheduled calls designed exclusively to help business owners and operators:

• Talk through operational challenges, friction points, and day-to-day business frustrations.
• Receive practical, experience-based business perspective and workflow suggestions.
• Organize thinking around business problems, priorities, or decisions.
• Vent frustrations related to running a business in a judgment-free, confidential setting.

3.2 Vent & Reset Is NOT Mental Health Services

3.3 If You Need Mental Health Support

If you are experiencing a mental health crisis, suicidal ideation, self-harm urges, severe depression, anxiety disorder, or any other mental or emotional health condition, please contact a licensed mental health professional or crisis resource immediately:

DiversusPro is not equipped to handle mental health emergencies and expressly disclaims any responsibility for outcomes arising from reliance on Vent & Reset sessions as a substitute for professional mental health care.

3.4 Session Conduct & Confidentiality

Vent & Reset sessions are conducted via video/audio call. Sessions are not recorded by DiversusPro. Content shared during sessions is treated as confidential business information, subject to the limited exceptions described in our Privacy Policy. No session notes are retained in identifiable form after the session concludes.

3.5 Pricing & Refunds for Sessions

Sessions are billed at $60 per 30-minute session and are charged at the time of booking. Sessions cancelled with less than 24 hours' notice or missed without notice are non-refundable. Sessions cancelled with at least 24 hours' notice may be rescheduled once within 30 days.

3.6 Limitation of Liability — Vent & Reset

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIVERSUSPRO'S TOTAL LIABILITY ARISING FROM OR RELATED TO ANY VENT & RESET SESSION SHALL NOT EXCEED THE AMOUNT PAID FOR THE SPECIFIC SESSION AT ISSUE. DIVERSUSPRO SHALL NOT BE LIABLE FOR ANY EMOTIONAL DISTRESS, PSYCHOLOGICAL HARM, PERSONAL INJURY, RELIANCE LOSSES, OR CONSEQUENTIAL DAMAGES ARISING FROM ANY VENT & RESET SESSION. USE OF THIS SERVICE IS AT YOUR OWN RISK.

4. Eligibility

DiversusPro services are available to business owners, operators, agencies, and professionals aged 18 or older. By agreeing to these Terms you represent that you meet this age requirement and that your use of our services is lawful in your jurisdiction. DiversusPro services are intended for business and commercial use, not personal consumer use.

5. Accounts & Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to: (a) provide accurate and complete information during registration; (b) update that information to keep it current; (c) notify us immediately at hello@diversuspro.com of any unauthorized access or security breach.

DiversusPro reserves the right to suspend or terminate accounts that show signs of unauthorized access, fraudulent activity, or violation of these Terms. We are not liable for losses arising from your failure to safeguard your credentials.

6. Subscriptions & Billing

6.1 Plans

6.2 Auto-Renewal & Cancellation

Subscriptions renew automatically at the end of each billing period unless cancelled at least 48 hours before renewal. Cancellations take effect at the end of the current paid period; no partial-period refunds are issued. To cancel, email hello@diversuspro.com.

6.3 SLA Credits

If monthly uptime falls below the guaranteed SLA for your plan, you may request a service credit (as a percentage of that month's subscription fee) per the following schedule:

• 99.0% – 99.5%: 10% credit
• 95.0% – 99.0%: 25% credit
• Below 95.0%: 50% credit

Credits must be requested within 15 days of the affected billing period and are applied to future invoices, not issued as cash refunds.

6.4 Failed Payments

If payment fails, we will attempt re-billing up to three times over seven days. Persistent non-payment results in service suspension followed by account termination. You remain liable for all outstanding amounts plus reasonable collection costs.

7. One-Time Build Projects

One-time website design and development projects are subject to the following payment schedule:

• 50% deposit due before work commences.
• 50% final payment due upon delivery of the completed project for client review.

Base pricing starts at $600 for a single-page site. Each additional page is priced at $150 per page. Final pricing is confirmed in a written project proposal before deposit is collected.

Deposits are non-refundable once work has commenced. Final payment is required before deployment of the completed site. Change requests outside the agreed scope are billed as additional work at our standard hourly rate.

8. À La Carte Services

Standalone services (Invoicing Only, AI Bots Only, Chat Widget Only) are available as monthly add-ons independent of a full subscription. These services are billed monthly and subject to the same auto-renewal and cancellation terms as subscriptions (Section 6.2). À la carte services do not include full platform access unless bundled with a subscription plan.

9. Acceptable Use

You agree not to use DiversusPro services to:

• Violate any applicable law, regulation, or third-party right.
• Transmit malware, spam, or unauthorized advertising.
• Attempt to gain unauthorized access to our systems or another user's account.
• Use automated means to scrape, crawl, or extract data from our platform.
• Interfere with or disrupt the integrity or performance of our services.
• Engage in fraudulent, deceptive, or harmful conduct.
• Resell or sublicense DiversusPro services without written authorization.

Violation of this Section may result in immediate termination of your account without refund and, where appropriate, referral to law enforcement authorities.

10. Intellectual Property

All platform code, design, branding, copy, and tooling developed by DiversusPro remains our exclusive intellectual property. Upon full payment of a one-time build project, you receive a perpetual, non-exclusive license to use the deliverable website for your business. DiversusPro retains the right to display completed work in our portfolio unless you request otherwise in writing.

You grant DiversusPro a limited license to use, host, and process your business content solely to deliver the services you have contracted. This license terminates upon account closure.

11. Confidentiality

Both parties agree to maintain the confidentiality of non-public information disclosed during the course of the business relationship. DiversusPro will not disclose your business data, client lists, operational information, or session content to third parties except as required by law or with your express written consent. Our employees and contractors handling your account are bound by confidentiality obligations.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DIVERSUSPRO PROVIDES ALL SERVICES "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED SERVICE.

WE DO NOT WARRANT THAT: (A) THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS; (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; OR (D) ANY ERRORS IN THE SERVICES WILL BE CORRECTED.

SPECIFICALLY, DIVERSUSPRO MAKES NO WARRANTY THAT VENT & RESET SESSIONS WILL RESOLVE ANY BUSINESS PROBLEM, IMPROVE BUSINESS PERFORMANCE, ALLEVIATE STRESS, OR PRODUCE ANY PARTICULAR OUTCOME WHATSOEVER.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

13.1 Cap on Liability. DIVERSUSPRO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO DIVERSUSPRO IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

13.2 Exclusion of Consequential Damages. IN NO EVENT SHALL DIVERSUSPRO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF DIVERSUSPRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13.3 Vent & Reset. NOTWITHSTANDING ANY OTHER PROVISION, DIVERSUSPRO'S MAXIMUM LIABILITY ARISING FROM ANY VENT & RESET SESSION SHALL NOT EXCEED THE AMOUNT PAID FOR THAT SPECIFIC SESSION. DIVERSUSPRO SHALL HAVE NO LIABILITY WHATSOEVER FOR EMOTIONAL, PSYCHOLOGICAL, OR PERSONAL HARM RESULTING FROM ANY SESSION.

13.4 Essential Basis. THE LIMITATIONS IN THIS SECTION REFLECT AN INFORMED ALLOCATION OF RISK AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES. DIVERSUSPRO WOULD NOT PROVIDE THE SERVICES WITHOUT THESE LIMITATIONS.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless DiversusPro and its officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your use of the services; (c) your violation of any third-party right; or (d) any content you submit through our platform.

15. Termination

Either party may terminate the service relationship at any time. We may suspend or terminate your access immediately for material breach of these Terms, non-payment, fraud, or conduct harmful to other users or DiversusPro.

Upon termination: (a) your license to use the platform ends immediately; (b) outstanding fees become immediately due; (c) we will retain your data for 30 days to allow export, after which it is deleted per our data retention schedule. Sections 10, 12, 13, 14, 16, and 17 survive termination.

16. Dispute Resolution

16.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at hello@diversuspro.com and attempt to resolve the dispute informally for at least 30 days.

16.2 Binding Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. Arbitration shall be conducted in Jefferson County, Kentucky, unless both parties agree otherwise. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

16.3 Class Action Waiver

YOU AND DIVERSUSPRO EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN CLASS ACTION LITIGATION OR CLASS-WIDE ARBITRATION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY.

16.4 Opt-Out

You may opt out of Section 16.2 and 16.3 by emailing hello@diversuspro.com with the subject "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.

17. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. Subject to Section 16, any legal action arising out of these Terms shall be brought exclusively in the state or federal courts located in Jefferson County, Kentucky, and you consent to personal jurisdiction therein.

18. Changes to Terms

We may update these Terms at any time by posting the revised version to this page and updating the "Last updated" date. For material changes, we will provide at least 14 days' notice via email to the address on your account or by a prominent notice on the platform. Your continued use of the services after the effective date constitutes acceptance of the revised Terms.
